All conditions to the to the acquisition, including Israeli regulatory approvals, have been satisfied or waived. However, as previously reported in the Company’s report for the quarter ended September 30, 2021, AppYea’s planned reverse stock split of the outstanding common stock and preferred stock is subject to the approval of the Financial Industry Regulatory Authority (FINRA). While implementation of the reverse stock split is not a condition to the acquisition, the Company believes that it is in the best interests of the Company and shareholders to obtain the requisite FINRA approval for the reverse split prior to completing the acquisition.
